Terms of Service

Version 1.1 · Effective 29 June 2026 · Last updated 21 July 2026. These Terms are a binding agreement between you and AVI Verifide India Private Limited (“MIKA”, “we”) and govern your use of the MIKA platform. By creating an account or using MIKA, you agree to them. Some features described below activate as you use them.

1. Acceptance & eligibility

You must be at least 18 and able to enter a contract. If you set up MIKA on behalf of a business or a client (for example, as an agency), you confirm you’re authorized to bind that business to these Terms.

2. Definitions

Service — the MIKA platform and its features.
Your Content — what you provide or create with MIKA (text, images, your business profile).
AI Output — content generated by MIKA’s AI features.
Leads — contact details captured through a site or form you operate with MIKA.
YMYL — “Your Money or Your Life” topics (health, medical, legal, financial) that carry heightened legal/credibility requirements.

3. The MIKA service

MIKA helps you build and publish a website, generate marketing content, capture leads, and run outreach. Many features are powered by AI and act on your behalf — but only after you direct or approve them. We may add, change, or discontinue features.

4. Your account

You’re responsible for your account and everything done under it, and for keeping your sign-in secure. Tell us promptly of any unauthorized use.

5. AI-generated content is a draft you must review

AI Output is produced by AI and provided “as is.” It may be inaccurate, incomplete, or not reflect recent events, and similar output may be generated for others. You must review AI Output before you publish or send it — do not rely on factual, legal, medical, or financial statements without independently verifying them. MIKA does not warrant that AI Output is accurate, lawful, or fit for your purpose.

6. Your content & intellectual property

As between you and MIKA, you own Your Content and the AI Output generated for you (including your website), subject to any third-party rights in underlying models or materials. You grant MIKA a worldwide, royalty-free license to host, process, reproduce, and display it solely to operate and improve the Service for you. MIKA, its software, and its design system remain ours. If you send us feedback, we may use it without obligation to you.

7. You are the publisher and the sender

When MIKA publishes a site or sends email on your behalf, you are the publisher and the sender of record. You are responsible for:

Having the rights and permissions for everything you publish (text, images, claims, reviews).
Email law — sending only to contacts who consented, honoring unsubscribes, and complying with applicable rules (e.g. CAN-SPAM, CASL, and India’s communications regulations). MIKA’s sending tools enforce mechanics (authentication, suppression, one-click unsubscribe) but do not make you compliant.
Regulated and YMYL content — holding the qualifications, disclosures, and substantiation the law requires.

8. Acceptable use

You agree not to use MIKA to create, publish, or send anything illegal, infringing, deceptive, or harmful — including spam, fabricated reviews or statistics, malware, or content that violates others’ rights. We may remove content or suspend accounts that breach this section.

9. You are responsible for your content — MIKA does not verify it

You are solely and completely responsible for all content generated, built, and published through MIKA — including every claim, credential, review, statistic, testimonial, qualification, and any regulated or YMYL (health, medical, legal, financial) content, whether you wrote it or it is AI Output. MIKA does not review, fact-check, or verify the accuracy, legality, truthfulness, or substantiation of your content, and does not verify your credentials or your sources. Publishing through MIKA assigns your site a web address and makes it reachable — it does not evaluate what your content says. You review your content and decide when it goes live, and you confirm this responsibility each time you publish.

10. Third-party services & connections

When you connect a third-party account (for example, Google Search Console, Analytics, or Business Profile), you authorize MIKA to access it to provide that feature, and the access tokens are encrypted at rest. Our use of Google user data follows the Google API Services User Data Policy (Limited Use). Third-party services have their own terms.

11. Plans, billing & cancellation

MIKA offers a free tier and paid plans. Paid plans are billed monthly in USD and renew automatically each month unless you cancel before renewal; usage beyond your plan’s limits is charged as overage (recharge). You authorize us (via our payment processor) to charge the plan fee, overage, and applicable taxes. All fees are non-refundable, except where a refund is required by applicable law. On cancellation, paid features stop at the end of the paid period.

12. Termination & suspension

You can stop using MIKA anytime. We may suspend or terminate access for breach, abuse, or legal/security reasons. On termination, your right to use MIKA ends; how we handle your data is described in the Privacy Policy.

13. Copyright & DMCA

We respect intellectual-property rights. If you believe content on a MIKA-hosted site infringes your copyright, send a notice with the required details to team@mikahq.com; we will respond, including removing infringing content and terminating repeat infringers where appropriate.

14. Disclaimers

The service and all AI output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation, to the maximum extent permitted by law.

15. Limitation of liability

To the maximum extent permitted by law, MIKA will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. MIKA’s total liability for any claim is limited to the greater of the fees you paid to MIKA in the 12 months before the claim, or USD 100.

16. Indemnification

You will defend, indemnify, and hold MIKA harmless from third-party claims arising out of Your Content, your use of the Service, your published content or outbound messages, or your breach of these Terms. MIKA will notify you of the claim, let you control the defense (with our reasonable cooperation), and not settle in a way that admits your fault without your consent.

17. Dispute resolution

Before starting any formal proceeding, the parties will try to resolve a dispute informally by written notice to team@mikahq.com. These Terms are governed by the laws of India, and the courts at Gurugram, Haryana have exclusive jurisdiction over any dispute. Nothing here prevents either party from seeking urgent interim relief from those courts, and nothing limits any non-waivable rights you may have under applicable consumer law.

18. General terms

Governing law — the laws of India.
Severability — if a provision is unenforceable, the rest remain in effect.
Entire agreement — these Terms (with the Privacy Policy and any DPA or plan terms) are the entire agreement and supersede prior understandings.
Assignment — you may not assign these Terms without our consent; we may assign them in a merger, acquisition, or sale of assets.
No waiver — not enforcing a right isn’t a waiver of it.
Force majeure — neither party is liable for delays caused by events beyond reasonable control.
Notices — we may give notice in-product, by email, or by posting; you contact us at the address below.
Survival — sections on content/IP, disclaimers, liability, indemnification, and dispute resolution survive termination.
Changes — we may update these Terms; for material changes we’ll give notice, and continued use after they take effect means you accept them.
